Terms & Conditions

These Terms and Conditions ("Terms") govern the sale and use of the online course ("Course") provided by SalesXchange Limited ("Provider", "we", "us") to the business customer ("Client", "you"). By purchasing the Course, you agree to be bound by these Terms. No other terms shall apply unless expressly agreed in writing by an authorised officer of SalesXchange Limited.
- Definitions
- Course means the digital training programme titled [The B2B TAM Strategy Course] priced at £1,997 + VAT, comprising on-demand video modules, and downloadable materials delivered via the SalesXchange learning portal.
- Course Materials means all video, audio, slides, workbooks, and other content supplied with or generated by the Course.
- Access Credentials means the unique login details provided to the Client upon full payment of the Course fee.
- Basis of Contract
- The purchase of the Course forms a legally binding contract upon receipt of cleared funds.
- These Terms constitute the entire agreement between the Client and the Provider concerning the Course, superseding all prior agreements or representations.
- The Client acknowledges that the Course is designed for business use only and is not intended for consumer or personal use.
- Price and Payment1 The Course fee is £1,997 + VAT, payable in full in advance.
- Access credentials are issued only upon receipt of cleared funds.
- All invoices are issued in GBP and are exclusive of VAT and other applicable taxes, which shall be added at the prevailing rate.
- The Client shall pay all invoices in cleared funds to the bank account nominated by SalesXchange Limited by the due date indicated. Time of payment is of the essence.
- Late payments shall attract interest at 4% per annum above the Bank of England base rate, calculated daily, from the due date until paid in full. SalesXchange may also suspend access to the Course until payment is received.
- Cancellation and Refunds
- Because digital content is made available immediately upon purchase, the Course fee is non-refundable once access credentials have been issued, except where mandatory consumer laws apply and the purchaser is acting as a consumer.
- Requests for refunds must be made in writing within 14 days of purchase, prior to the issuance of access credentials.
- No refunds will be given after Course access has been granted.
- Course Access and Use
- Upon full payment, the Client is granted a non-exclusive, non-transferable licence for up to [Number] named employees to access the Course for the Client’s internal business purposes.
- The Client shall not copy, share, sell, sublicense, or otherwise make the Course Materials available to any third party without the Provider’s prior written consent.
- All Intellectual Property Rights in the Course Materials remain vested in SalesXchange Limited or its licensors.
- The Client agrees to maintain the confidentiality of their access credentials and to prevent unauthorised access to the Course.
- Intellectual Property
- All Course Materials are protected by copyright and other intellectual property rights.
- The Client is granted a licence to use the Course Materials for their internal business purposes only, without the right to modify, distribute, or resell.
- Any unauthorised use, copying, or distribution of the Course Materials may result in the immediate termination of the Client’s access to the Course and potential legal action.
- Warranties and Disclaimers
- The Provider warrants that the Course Materials will conform to the descriptions provided at the time of sale.
- The Provider does not warrant that the Course will achieve any specific commercial outcome, as success depends on the Client’s implementation and market conditions.
- All warranties, express or implied, are excluded to the fullest extent permitted by law.
- Limitation of Liability
- The Provider’s aggregate liability for any claims arising from the Course shall not exceed the amount paid for the Course.
- The Provider shall not be liable for indirect, incidental, or consequential damages, including loss of profits, revenue, data, or goodwill.
- The Provider is not liable for outages, policy changes, or data loss on third-party platforms (e.g., YouTube, LinkedIn) used for live streaming or video hosting.
- Force Majeure
- Neither party shall be liable for delays or non-performance caused by events beyond their reasonable control, including pandemics, government restrictions, strikes, fire, flood, or global supply chain disruption. The affected party shall notify the other promptly and shall be excused for the duration of the force majeure event.
- Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of England and Wales.
- The parties agree to attempt mediation in good faith before resorting to litigation.
- Notices
- Notices shall be in writing and sent by recorded delivery or email (receipt confirmed) to the addresses stated in the order confirmation (or such other address notified in writing).
- Notices are deemed received two business days after posting or, for email, when the email leaves the sender’s server provided no delivery failure notice is received.
- Amendments
- These Terms may only be amended in writing, signed by both parties.
- Entire Agreement
- These Terms constitute the entire agreement between the Client and SalesXchange Limited concerning the Course and supersede all prior agreements or representations.
